1. AGREEMENT TO THESE TERMS AND SCOPE

These Terms and Conditions (“Terms”) govern access to and use of thesomajourney.com and related pages operated by Soma Journey LLC (“Website”), as well as the purchase of and participation in our products, educational offerings, and services, including the Trauma Gates Somatic Coaching Certification Program (“Program”).

Soma Journey LLC is referred to in these Terms as “Soma Journey,” “we,” “us,” or “our.” Our Website, products, services, and Program are collectively referred to as our “Services.”

By using the Website after receiving notice of these Terms, or by affirmatively accepting these Terms when purchasing, registering, or enrolling, you agree to the provisions applicable to your activities. If you do not agree, do not use the applicable Services.

Different provisions apply to different activities:

• General website provisions apply to visitors who browse the Website or interact with its content and features.

• Purchase, pricing, payment, cancellation, and refund provisions apply to people who purchase a product, service, or Program.

• Program access, completion, certification, and participant provisions apply to people enrolled in or participating in the Program.

• Community and account provisions apply when you use those features.

Simply visiting the Website, submitting an inquiry, or reviewing information does not enroll you in the Program, create a payment obligation, or subject you to certification requirements.

Our Privacy Policy explains how we collect, use, and handle personal information.

Nothing in these Terms limits rights or protections that cannot legally be waived.

2. SERVICES, PROGRAM, AND CERTIFICATE

The Website provides information about Soma Journey, its approach, and its available offerings. The description presented at purchase identifies the particular product, service, or Program included in your purchase.

The Trauma Gates Somatic Coaching Certification Program is a private educational and professional-development program. It may include prerecorded coursework, written materials, exercises, assessments, community resources, practice activities, and live or virtual sessions.

Participants who satisfy the Program’s educational requirements may receive a certificate of completion issued by Soma Journey. The certificate reflects completion of Soma Journey’s private training requirements.

The Program and certificate are not accredited academic programs, academic degrees, government-issued credentials, professional licenses, or authorizations to provide regulated medical, psychological, therapeutic, or other licensed services.

Purchasing the Program does not itself entitle a participant to certification. Certification must be earned through satisfactory completion of the stated requirements.

Participants are responsible for understanding and complying with all laws, licensing requirements, ethical obligations, and professional standards applicable to their activities.

3. ELIGIBILITY, ACCOUNTS, AND LAWFUL WEBSITE USE

3.1 Eligibility and Information

You must be legally capable of entering into a binding agreement to make a purchase or enroll. If you are not legally able to do so, a parent or legal guardian must complete the purchase and agree to these Terms on your behalf, subject to any eligibility requirements stated for the offering.

You agree to provide accurate and complete registration, billing, account, and inquiry information and to keep relevant information current.

Do not submit another person’s confidential or personal information unless you have appropriate permission or another lawful basis to do so.

3.2 Account Security

Your account is personal to you and may not be transferred or shared without our written permission.

You are responsible for taking reasonable steps to protect your login credentials, and for promptly notifying us if you suspect unauthorized access. You must not allow others to access paid materials through your account.

3.3 Permitted and Prohibited Use

You agree to use the Website and Services only for lawful purposes and in a manner that respects the rights, safety, and access of others.

You must not:

• Engage in fraud, impersonation, harassment, threats, abuse, or unlawful discrimination.

• Upload or transmit malware, malicious code, or other harmful material.

• Attempt to gain unauthorized access to accounts, systems, private information, or restricted content.

• Interfere with the operation, security, or availability of the Website or Services.

• Circumvent access controls, payment requirements, or content protections.

• Use automated tools to collect personal information or extract protected content without authorization.

• Post or transmit content that infringes another person’s intellectual property, privacy, or other legal rights.

• Use contact forms, communities, or other features for unsolicited advertising or spam.

These restrictions do not prohibit activities that applicable law expressly permits and that cannot lawfully be restricted by contract.

Soma Journey may refuse or cancel an account or enrollment where reasonably necessary to prevent fraud, protect others, comply with law, or enforce these Terms. Any resulting refund or payment adjustment will be handled under Sections 5, 7, and 13 and applicable law.

4. PROGRAM ACCESS AND CHANGES

4.1 Immediate Full Access

Upon enrollment and successful processing of your full payment or first scheduled installment, your purchase includes full access to the Program’s core self-paced coursework and materials, including available downloadable resources.

Live sessions and other scheduled activities occur according to their stated schedules.

4.2 Lifetime Access

Your Program purchase includes lifetime access to the core self-paced coursework and materials, subject to fulfilling your payment commitment and complying with these Terms.

“Lifetime access” means continued access without an additional access fee for as long as Soma Journey owns and operates the Program. It does not mean your lifetime and does not guarantee permanent availability of a particular website, platform, instructor, community feature, live session, or version of the materials.

Lifetime access does not automatically include separately sold programs, services, or future offerings.

4.3 Updates and Delivery Changes

Soma Journey may reasonably update course content, instructors, schedules, platforms, exercises, assessments, or delivery methods. We will not intentionally remove the essential educational substance of the purchased Program without providing a reasonable alternative.

Live sessions and other scheduled activities may be changed, rescheduled, or replaced when reasonably necessary. Discontinuation of a component will not eliminate any remedy required by law or any material commitment expressly made at purchase.

Access may depend on third-party technology and internet services. Temporary interruptions, maintenance, platform migrations, or technical limitations may occur.

If the Program is permanently discontinued, Soma Journey will provide reasonable notice and, where reasonably feasible, an alternative way to access the core materials.

This provision does not eliminate any refund or other remedy required by law.

5. PURCHASES, PRICING, AND PAYMENT TERMS

5.1 Prices and Purchase Details

The purchase price, included features, applicable discounts, taxes or fees, and available payment options will be disclosed before you complete your purchase.

Prices and promotional offers may change prospectively. The price and purchase terms accepted at checkout govern your purchase unless otherwise agreed in writing or required by law.

5.2 Payment Options and Full-Price Commitment

Where offered, you may pay in full or select a fixed installment payment plan.

Payment in full is due at purchase. Under an installment plan, the initial payment and remaining installments are due according to the schedule accepted at checkout.

A fixed installment payment plan divides the total purchase price into scheduled payments. It is not a subscription, month-to-month membership, or pay-as-you-go arrangement.

By selecting a payment plan, you agree to pay the full purchase price according to the accepted schedule, subject to Section 7 and applicable law.

5.3 Authorization for Scheduled Payments

By selecting an installment plan and providing the required payment authorization, you authorize Soma Journey and its designated payment processor to charge the payment method provided for the scheduled installments.

The installment amounts, frequency, timing, and total payment commitment will be disclosed at checkout.

You are responsible for maintaining a valid payment method and ensuring sufficient funds are available.

Fixed installment plans do not automatically renew after the agreed purchase price has been paid in full.

5.4 Outstanding Payment Obligations

Completing the Program, receiving a certificate, voluntarily withdrawing, discontinuing participation, or failing to complete coursework does not automatically cancel scheduled payments or eliminate an outstanding balance.

Payment obligations remain in effect unless modified or released in writing by Soma Journey or otherwise affected by applicable law or a remedy provided under these Terms.

5.5 Failed or Missed Payments

If a payment is declined or remains unpaid, Soma Journey may contact you to resolve the outstanding amount.

Where authorized and permitted by law, Soma Journey or its payment processor may attempt to process an unsuccessful payment again.

Soma Journey may temporarily suspend paid access while an account remains overdue. Access may be restored after the account is brought current, or an alternative arrangement is approved.

A missed payment does not automatically cancel the installment plan or eliminate the remaining balance.

5.6 Financial Hardship and Billing Concerns

We recognize that unexpected circumstances may affect your ability to meet financial commitments. Please contact us to discuss payment assistance or the accommodations described in Section 7.

Any approved modification will be confirmed in writing. Unless otherwise agreed or required by law, the original payment schedule remains in effect while a request is reviewed.

If you believe a charge is incorrect or unauthorized, please notify us promptly so we can investigate. Contacting us is encouraged, but it is not a condition of exercising lawful payment-dispute or consumer rights.

6. COMPLETION AND CERTIFICATION

Participants are responsible for completing all required coursework, exercises, assessments, practice activities, and other stated completion requirements.

Soma Journey may determine whether a participant has satisfactorily completed those requirements and may require incomplete or unsatisfactory work to be corrected or repeated.

A participant may receive a certificate of completion after satisfying the educational requirements even if scheduled installments remain.

Receiving a certificate, completing the Program, withdrawing, or discontinuing participation does not cancel an installment plan or eliminate an outstanding balance, subject to Section 7 and applicable law.

Soma Journey may withhold or revoke a certificate obtained through fraud, plagiarism, misrepresentation, identity misuse, or other material misconduct affecting its validity.

Participants must describe their training and certificate accurately, and must not imply that the certificate confers a professional license, academic degree, or government authorization.

7. CANCELLATIONS, WITHDRAWALS, AND REFUNDS

7.1 Generally Final and Nonrefundable Purchases

Except where applicable law requires otherwise, a refund right is expressly stated and accepted at purchase, or Soma Journey approves an exception under this section, purchases are final and nonrefundable.

For the Trauma Gates Somatic Coaching Certification Program, this policy reflects the digital nature of the offering and the immediate full access provided to proprietary coursework, training resources, exercises, and downloadable materials.

By completing enrollment, participants acknowledge this immediate access and the generally nonrefundable nature of their purchase.

Accessing or downloading materials does not, by itself, waive any cancellation or refund right that applicable law protects.

7.2 Withdrawal or Discontinuation

You may discontinue participation in the Program at any time.

Choosing not to participate, failing to complete the Program, or voluntarily withdrawing does not by itself entitle you to a refund or release you from outstanding payment obligations.

For an installment purchase, remaining scheduled payments continue according to the accepted schedule unless Soma Journey agrees otherwise in writing or applicable law requires a different result.

Any scheduling or rescheduling terms for separately purchased appointments or services must be disclosed before purchase. They do not override non-waivable consumer rights.

7.3 Compassionate Exceptions and Extraordinary Circumstances

Soma Journey recognizes that unexpected circumstances may significantly affect your ability to continue your education or fulfill your financial commitments.

If you experience a medical emergency, family emergency, unexpected financial hardship, or another extraordinary circumstance, we encourage you to contact us.

Requests will be reviewed individually, compassionately, and in good faith.

At its discretion, Soma Journey may approve:

• Temporary payment extensions.

• Modified payment schedules.

• Other reasonable participation or payment accommodations.

• Partial or full refunds.

• Partial or full forgiveness of an outstanding balance.

Submitting a request does not guarantee approval or automatically suspend scheduled payments. Any approved accommodation will be confirmed in writing.

Discretionary exceptions are separate from legally required remedies. You do not need to demonstrate hardship to exercise a cancellation, refund, or other right provided by law.

7.4 Approved Refunds and Payment Adjustments

If we approve a refund or adjustment, we will communicate its terms in writing, including the treatment of remaining installments and access.

Approved refunds will generally be issued to the original payment method where reasonably possible and within any legally required timeframe.

A full refund of a purchase cancels all remaining scheduled installments associated with that purchase.

Unless otherwise agreed in writing or required by law, a full Program refund ends Program access and the license to use proprietary Program materials. You must discontinue use and delete or destroy downloaded or printed copies, except for records you are legally entitled or required to retain.

These material-use obligations do not delay or condition a refund that must be provided by law.

A partial refund does not automatically cancel the entire remaining balance. The written adjustment will explain any changes.

7.5 Cancellation or Nonperformance by Soma Journey

If Soma Journey cancels a purchased offering before providing it, we will refund payments for the canceled offering and cancel its remaining installments unless you affirmatively choose an agreed alternative.

If an offering has been partially provided or Soma Journey materially fails to deliver what was promised, we will provide any refund, payment adjustment, or other remedy required by applicable law. The generally nonrefundable policy does not excuse our own contractual obligations.

Include your name, purchase or enrollment details, and a brief explanation. Please avoid sending unnecessary sensitive medical or financial records.

We request written submissions to help us process requests accurately. This does not restrict another legally permitted method of cancellation or notice.

8. EDUCATIONAL, HEALTH, AND PROFESSIONAL DISCLAIMER

The Website and Services may provide information concerning somatic practices, health, wellness, fitness, nutrition, personal development, and professional education.

Unless expressly stated otherwise for a lawfully offered service, this information is provided for general informational and educational purposes. It is not medical care, mental-health treatment, psychotherapy, diagnosis, legal advice, or individualized clinical supervision.

Website and Program content is not a substitute for professional medical advice, diagnosis, treatment, or services from another appropriately qualified professional.

Consult a physician or other qualified health provider before beginning a new health, wellness, fitness, or somatic practice, particularly if you have concerns about its suitability for you.

If you have or suspect a medical or mental-health condition, seek appropriate professional care. Do not disregard professional advice or delay seeking care because of information provided through Soma Journey.

Participation in an exercise is voluntary. You may pause or stop an activity if you experience discomfort or distress and seek appropriate support.

The Website and Program are not emergency or crisis services. If you are experiencing an emergency, contact local emergency services or an appropriate crisis resource.

Soma Journey does not guarantee any particular personal, therapeutic, professional, business, financial, client, employment, or other outcome. Testimonials and examples reflect individual experiences and do not promise similar results.

9. PARTICIPANT RESPONSIBILITY AND CONDUCT

Participants agree to engage honestly, responsibly, and respectfully.

Plagiarism, cheating, harassment, discrimination, threats, abuse, impersonation, unauthorized recording, and conduct that materially disrupts the Program or harms others are prohibited.

Participants are responsible for how they interpret and apply Program content, subject to rights and responsibilities that cannot lawfully be excluded.

Completion does not authorize a participant to work outside their competence or lawful scope of practice.

When applying concepts with others, participants are responsible for appropriate consent, boundaries, confidentiality, referrals, and compliance with applicable professional requirements.

Participants must not represent that they are employed by, endorsed by, authorized to speak for, or otherwise affiliated with Soma Journey beyond accurately describing their enrollment or completion, unless expressly authorized in writing.

10. COMMUNITY PARTICIPATION, SUBMISSIONS, AND CONFIDENTIALITY

Communities and group sessions may involve personal information shared by participants.

You agree not to record, disclose, publish, or misuse another participant’s identity, statements, experiences, images, or personal information without permission, except where disclosure is legally required or protected.

Soma Journey may establish reasonable community guidelines and moderate or remove content that violates these Terms.

We cannot guarantee that other participants will maintain confidentiality. Use appropriate judgment before sharing sensitive information. Participation does not create a legally privileged therapeutic relationship.

You retain ownership of original content you submit through forms, coursework, discussions, or other Service features.

You grant Soma Journey a limited, nonexclusive license to host, reproduce, display, and use that content only as reasonably necessary to respond to you, operate the applicable Services, provide feedback, enforce these Terms, or comply with law. Display to other participants is limited to the audience appropriate to the feature through which you submitted it.

This license does not authorize us to use your private submissions, name, image, or personal story in marketing without separate permission.

11. INTELLECTUAL PROPERTY AND PERMITTED USE

Website and Program materials, including text, videos, audio, graphics, exercises, assessments, manuals, downloads, branding, and other resources, are owned by or licensed to Soma Journey and protected to the extent provided by applicable intellectual-property law.

Website visitors may view publicly available content for personal informational use. Paid or restricted content requires the applicable purchase or authorization.

Enrollment grants a limited, personal, nonexclusive, nontransferable license to access and use Program materials for your own education and lawful professional development, subject to these Terms.

You may download or print resources made available for that purpose for your own permitted use. You may apply concepts learned through the Program in your own lawful work, and use any client-facing resources within the permissions expressly provided with those resources.

Except as expressly authorized or permitted by law, you may not:

• Copy, distribute, publish, sell, sublicense, upload, or share protected materials with others.

• Share account access or make paid materials publicly available.

• Use Program materials to teach, reproduce, or offer the Trauma Gates training to others.

• Modify protected materials or create derivative or competing training materials using protected Program content.

• Remove ownership notices or represent Soma Journey materials as your own.

• Use Soma Journey or Trauma Gates names, logos, or branding in a way that suggests unauthorized endorsement or affiliation.

Enrollment and completion do not transfer ownership of intellectual property or authorize you to certify or train others on behalf of Soma Journey.

Nothing in this section restricts rights that applicable law preserves, including lawful use of unprotected ideas or permitted fair use.

Unauthorized sharing or misuse may result in suspension or termination under Section 13 and other remedies available by law.

12. PRIVACY, THIRD-PARTY SERVICES, AND EXTERNAL LINKS

We handle personal information according to the Soma Journey Privacy Policy and applicable law.

Soma Journey may use service providers, including website-hosting, payment-processing, email, video, community, and course-platform providers, to operate the Services. Third-party services may also have their own applicable terms and privacy practices.

The Website and Services may contain links to external websites or resources. A link does not by itself constitute an endorsement or guarantee of the third party’s content, products, services, accuracy, or security.

Review the terms and privacy practices of external services before using them or providing information.

Soma Journey does not control independent third-party websites or services and is not responsible for their conduct to the extent permitted by law. This does not eliminate our own obligations concerning the providers we select, the Services we promise, or personal information we handle.

13. SUSPENSION AND TERMINATION

Soma Journey may restrict, suspend, or terminate access for nonpayment, fraud, account sharing, intellectual-property misuse, material misconduct, threats to safety, unlawful activity, or a material violation of these Terms.

When reasonably appropriate, we will provide notice and an opportunity to correct a violation.

Immediate action may be taken where reasonably necessary to protect participants, the Website, the Services, Soma Journey, or others.

Suspension or termination for your breach does not automatically create a refund or eliminate an outstanding payment obligation, subject to Section 7 and applicable law.

Termination by Soma Journey for reasons unrelated to your breach will be subject to our delivery commitments and any applicable refund or other remedies.

Payment obligations lawfully remaining due, intellectual-property protections, confidentiality obligations, limitations of liability, and other provisions that by their nature should continue will survive termination.

14. WEBSITE AVAILABILITY, DISCLAIMERS, AND LIMITATION OF LIABILITY

14.1 Availability and Information

We strive to maintain useful, accurate information and reliable access, but the Website and Services may contain errors or experience interruptions, maintenance, technical failures, or security incidents.

To the fullest extent permitted by law, the Website and Services are provided on an “as available” basis without a guarantee of uninterrupted or error-free operation.

General website information may be updated or corrected. These updates do not retroactively change the price, included features, or other material commitments accepted for an existing purchase.

You are responsible for obtaining a suitable device and internet connection and meeting technical requirements disclosed before purchase.

14.2 Disclaimer of Warranties

To the fullest extent permitted by law, and except for express commitments in these Terms or your accepted purchase terms, Soma Journey disclaims implied warranties, including merchantability, fitness for a particular purpose, and noninfringement.

These disclaimers do not override the immediate-access and lifetime-access commitments in Section 4 or any non-waivable statutory guarantee.

14.3 Limitation of Liability

To the fullest extent permitted by law, Soma Journey and its officers, employees, instructors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of or inability to use the Website or

Services, reliance on general website information, or Program participation.

For claims arising from a paid product, service, or Program, Soma Journey’s total liability will not exceed the amount you actually paid to Soma Journey for the purchase giving rise to the claim, to the fullest extent permitted by law.

That purchase-based cap does not apply to a claim arising solely from free Website use where no purchase gave rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, or any other liability that cannot lawfully be excluded or limited. Nothing restricts non-waivable consumer rights or legally required refunds or remedies.

15. CHANGES TO THE WEBSITE, SERVICES, OR TERMS

We may update these Terms to reflect legal requirements, security needs, operational changes, or future offerings.

Updated Terms will be posted with a revised effective date. For future Website use and future purchases, changes take effect on the stated effective date, subject to any notice or consent required by law.

Where required, we will provide additional notice or obtain affirmative acceptance of material changes. Merely posting revised Terms does not override any requirement to do so.

The version accepted at purchase governs that purchase unless a change is validly agreed or required by law.

We will not retroactively impose new payment obligations or materially reduce purchased access or other substantive contractual rights merely by posting updated Terms.

Operational rules and community standards may be updated prospectively when reasonably necessary to protect participants or operate the Services, consistently with existing purchase commitments.

16. ELECTRONIC COMMUNICATIONS AND RECORDS

When you purchase, register, or contact us electronically, you agree that we may provide related confirmations, receipts, account messages, support responses, and other transactional communications electronically, subject to applicable law.

We will obtain any separate consent required by law for electronic delivery of particular notices or records.

Purchasers and account holders are responsible for maintaining a current email address and retaining copies of the Terms, checkout details, and receipts associated with their purchase.

Transactional communications are separate from optional marketing communications.

Marketing preferences are handled according to our Privacy Policy and applicable law.

Simply browsing the Website does not constitute consent to receive marketing messages.

17. GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Nothing in these Terms limits any non-waivable consumer protection or jurisdiction or venue right available under applicable law, including protections applicable in your place of residence.

18. GENERAL PROVISIONS

These Terms, together with the specific purchase terms displayed and accepted at checkout and any written modifications agreed between you and Soma Journey, constitute the agreement concerning the applicable Services.

Specific purchase terms govern the price, payment schedule, included features, and any expressly stated additional rights for that purchase. They do not reduce non-waivable legal rights.

Our Privacy Policy separately explains how we handle personal information.

If a provision is found unenforceable, the remaining provisions will remain effective to the extent permitted by law.

Failure to enforce a provision is not a waiver of the right to enforce it later.

You may not transfer your enrollment, account, or contractual rights without our written permission, except as permitted by applicable law.

Soma Journey may transfer its rights and obligations in connection with a legitimate business reorganization, sale, or transfer, subject to applicable law and preservation of existing contractual commitments.

Soma Journey is not responsible for delays or failures caused by events reasonably outside its control to the extent permitted by law. We will take reasonable steps to mitigate the impact. This provision does not eliminate obligations, refund rights, or other remedies that cannot lawfully be excused.
